ORU Alumni Association Constitution
February 13, 2009 Proposed Changes
At our most recent February 2009 board meeting, the directors unanimously approved minor changes to the Alumni Association Constitution that will provide better representation of our alumni. We are now asking our Alumni Association members to review and ratify the language of our Association Constitution.
While the Alumni Association Board of Directors will continue to remain a body of mostly elected representatives, the changes will allow for appointments of highly qualified board members to ensure that alumni from diverse geographic areas and degree fields are adequately represented.
The revised constitutional language, as unanimously approved by the Alumni Association Board of Directors on February 13, 2009, is as follows:
Article IV - Board of Directors
This Association shall be governed by a Board of Directors elected from the regular members. Board membership shall consist of no fewer than seventeen (17) members. Board members shall be elected by the regular members or appointed by the Board from among the membership; provided, however, that a majority of the Board must be elected by the regular members. The method of election and appointment, as well as the conditions of eligibility for election shall be provided in the bylaws, provided that:
- a majority of the Board shall not be employed by Oral Roberts University;
- each director shall be elected to a term of three (3) years, commencing on a date designated in the bylaws, and shall be eligible for reelection; the term of members elected to serve as officers of the Board will automatically be extended, as necessary, to encompass their term as an officer;
- a portion of the board will include appropriate class-based segmentation representation;
- a vacancy on the Board may be filled by the Board of Directors at any special or regular meeting of the Board, provided the appointee shall serve only for the remainder of the term; and
- the Board shall have such regular and special meetings as the bylaws specify, but not fewer than two (2) per year.
